Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Traxium Intelligence platform, including all associated websites, dashboards, APIs, and services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding agreements on behalf of yourself or your organization. By using the Services, you represent that you meet these requirements.

2. Account Registration & Approval

Access to certain features requires registration. 3PL operator accounts are subject to manual review and approval by Traxium administrators. We reserve the right to approve, reject, or revoke any account at our sole discretion. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorized access to any part of the platform or other users' accounts
  • Transmit malicious code, spam, or disruptive content
  • Misrepresent your identity, business credentials, or warehouse capabilities
  • Reverse engineer, decompile, or attempt to extract source code from the Services
  • Use the Services to facilitate fraudulent transactions or money laundering

4. Client Brand Responsibilities

Client brands using Traxium to manage eCommerce fulfillment agree to: (a) provide accurate store credentials and maintain their integrations; (b) ensure timely payment for 3PL services rendered; (c) maintain accurate product catalogs and inventory records; and (d) comply with all applicable eCommerce platform policies (Shopify, Amazon, etc.).

5. 3PL Operator Responsibilities

Third-party logistics operators using Traxium agree to: (a) maintain accurate warehouse capacity and capabilities information; (b) fulfill orders in accordance with agreed service levels; (c) handle client inventory with reasonable care; and (d) maintain all required business licenses and insurance. Traxium is a technology platform only — we are not a party to any fulfillment agreement between brands and 3PL operators.

6. Payments & Billing

Billing for 3PL services is facilitated through Traxium using Stripe as our payment processor. Payment terms are established between client brands and their connected 3PL partners. Traxium charges a platform fee as described in your service agreement. All fees are non-refundable except as required by law.

7. Intellectual Property

Traxium Intelligence, PrepTrax®, and Ship-Trax™ are trademarks of Traxium Intelligence, Inc. The platform, including its design, code, and content, is proprietary and protected by applicable intellectual property laws. You receive a limited, non-exclusive license to use the Services during the term of your account.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAXIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TRAXIUM IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TRAXIUM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Termination

Either party may terminate the Services at any time. Traxium may suspend or terminate your account immediately if you violate these Terms or if we determine your use poses a risk to the platform or other users. Upon termination, your right to access the Services ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Los Angeles County, California, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or prominent notice in the platform. Continued use after changes take effect constitutes acceptance of the revised Terms.
